Compliance Attorney
OVERVIEW
The Compliance Attorney is responsible for (i) implementing and regularly updating Hasbroâs compliance code of conduct (âCodeâ), policies, and procedures, (ii) conducting periodic risk assessments, (iii) managing the compliance training program (including conducting training in territories around the globe), (iv) developing corporate complia! nce communications, (v) managing the Companyâs Program in co! rruption and bribery, competition and antitrust, sexual harassment and mutual respect, IP Protection, Marketing Practices, and other emerging areas, (vi) investigating alleged violations of the Code or laws, (vii) managing other key compliance risk programs, and (viii) promoting a culture of compliance at Hasbro designed to prevent illegal, unethical, and improper conduct.
The Compliance Attorney reports directly to the Companyâs Vice President-- Compliance, Global Government Affairs, and Corporate Social Responsibility (âVice Presidentâ).
ESSENTIAL DUTIES AND RESPONSIBILITIES
The Compliance Attorney is responsible for promoting compliance with the Code, applicable and emerging laws and regulations, and industry standards and best practice. Key responsibilities include:
- Day to day administration of Hasbroâs global compliance and ethics program (the âProgramâ), including but not limited to coverage of the following areas:! corruption and bribery, competition and antitrust, sexual harassment and mutual respect, IP Protection, and Marketing Practices.
- Periodically review and update the Code of Conduct and related policies to keep them current, relevant, and effective.
- Help identify and evaluate potential emerging risks, and, as appropriate, oversee the design and implementation of applicable compliance programs to address these risks, in coordination with the Global Legal Department and other corporate functions our business units.
- Develop, conduct and implement periodic compliance risk assessments, including ongoing risk reporting and monitoring.
- Implement and maintain an effective compliance communication and training program including (i) working with the companyâs Vice President and Human Resources Department to establish the annual mandatory compliance training program, (ii) developing live and online training for the Program and assisting other parts of Lega! l and other corporate functions in developing compliance-related traini! ng, and (iii) creating annual communications plan for the Program and mandatory training, which includes communication designed to encourage ethical conduct and a commitment to compliance with the law and, heightened awareness of the Code and appropriate reporting of improper activities.
- Oversee the administration of all compliance-related policies, including appropriate review and approval.
- Providing regular written compliance updates to the Vice President, General Counsel and members of Hasbroâs senior management team on the effectiveness of the Program, emerging risks, and recommended next steps; this also includes preparing related updates for the Board of Directors and Audit Committee of the Board.
- Coordinate with the global teams throughout Hasbro to ensure effective delivery of compliance services and support.
- Manage outside compliance vendors and law firms and the compliance budget.
- Perform partner due diligence reviews and manag! e mitigation strategies globally, supporting regional counsel as needed.
- Translate new legal/regulatory requirements into appropriate compliance policy requirements and help lead cross functional teams to implement those policies into operational compliance plans and programs: conduct regular assessments of these plans and programs.
- Support legal compliance processing and provide advice re: specific regulatory risk areas like FCPA (e.g., reviewing gifts and hospitality approval requests).
- Provide internal reports on a regular basis, and as directed or requested, to keep the senior management informed of the operation and progress of compliance efforts.
- In conjunction with senior legal management, ensure proper reporting on compliance practices to duly authorized enforcement agencies as appropriate and/or required.
- Respond to questions regarding compliance and ensures that alleged violations of rules, regulations, policies, procedures, and ! standards of conduct are referred appropriately for investigation.
! - Develop, execute and support others in delivering standard and customized compliance training.
- Continually innovate on ways to create a culture of compliance at Hasbro.
- Provide exceptional customer service and build strong working relationships with internal and external business partners.
QUALIFICATIONS :
- J.D. degree with a strong academic record.
- Minimum 5-7 years of experience in a global organization, with significant global Ethics & Compliance and Employment expertise.
- Good judgment, an ability to prioritize and make decisions, and a high level of common sense, including the ability to see around the corner and spot risks before they materialize.
- Deep knowledge of Ethics & Compliance framework for global corporations.
- Demonstrated knowledge of compliance laws, including FCPA, UKBA, anti-trust, insider trading, SOX, Dodd-Frank, privacy laws and related areas.
- Excellent organizational skills! and demonstrated analytical skills, strong strategic focus, and a record of cross-functional collaboration, in a global company with diverse cultures and emerging markets.
- Excellent oral and written communication, presentation, teaching and coaching skills.
- Ability to effectively communicate legal and compliance issues verbally and in writing in a clear and understandable manner.
- Demonstrated ability to inspire trust and confidence through effective communication and interpersonal skills.
- Demonstrated ability to be proactive, exercise independent judgment and manage multiple projects simultaneously.
- Strong work ethic.
- Regular travel, including international travel, is required.
