Supports Vice President / General Counsel with respect to various legal functions including review, drafting and negotiation of contracts, employment related matters and liti! gation management. Also provides administration support including the preparation of annual reports, resolutions, consents and other corporate governance documents and assists in due diligence when required. Essential Duties and Responsibilities:
Review and drafting of contracts
Review of employment / human resources related matters, including employment, severance and non-competition agreements, employee handbook / company policy issues and reductions in force
Litigation management and support including preparation of monthly litigation status reports, discovery support, position statements and outside counsel management
Performs Corporate Secretary duties under the direction of the General Counsel, including preparation of consents, resolutions, and corporate minutes.
Enforcement / review / update of corporate policies.
Preparation and filing of multiple corporate annual reports. Maintains corporate annual reports database.
Updates company lega! l document forms database.
Conducts legal research as requ! ested.
Prepares UCC filings as requested.
Maintains corporate minute books.
Primary Working Relationships:
The primary working relationship is with the Vice President/General Counsel, Alent and Division Senior Management, Division Legal Departments, outside counsel and staff. Decision Making Authority: Expected to understand and apply principles of corporate and litigation law and corporate governance requirements.
Expected to analyze and evaluate information and business needs, make suggestions and provide timely, appropriate advice
Expected to identify relevant facts and legal issues and apply to existing matters.
Expected to advise on litigation strategy and support and manage outside legal counsel on litigation matters.
Minimum Qualifications/Skill Requirements:
Juris Doctorate
Member of Rhode Island or Massachusetts Bar
Three to seven years of experience (both corporate and litigation experience p! referred) as an attorney in a law firm or in-house legal department.
Excellent information management and computer skills, including knowledge of Microsoft applications (Word, Excel, PowerPoint, Access) as well as web based services
